By accessing or using Technet, you agree to comply with and be bound by these Terms & Conditions (the "Terms"). These Terms govern your use of the Technet website and services (the "Service") and affect your legal rights and obligations. If you do not agree to these Terms, you must not use our Service.

1. Platform Use


Eligibility:
You must be at least 18 years of age or the age of majority in your jurisdiction to use Technet. By using our platform, you represent and warrant that you meet these eligibility requirements.

Users must not engage in any conduct that is harmful, fraudulent, or illegal.

Platform Intent: The platform is intended for IT freelancers and clients to connect, collaborate, and execute projects. Users must register for an account and agree to provide accurate, current, and complete information.

2. Services Offered

  • For Freelancers: Technet provides a platform to showcase your skills, connect with potential employers, and engage in IT projects. Freelancers are responsible for delivering quality work by the project terms set forth by employers.
  • For Clients: Employers can post projects, outlining their requirements and budget. Employers are responsible for selecting the right freelancer for their project and for providing clear, accurate project details.

Service Availability:
We strive to ensure that our Service is available at all times, but we do not guarantee uninterrupted or error-free operation. We may suspend or restrict access to the Service to perform maintenance or updates.

3. Project Management


Proposals and Acceptance:

Freelancers can submit proposals for projects, and employers are free to accept proposals based on their assessment of the freelancer's suitability for the project.

Completion and Payment:
Projects are considered complete when the employer approves the work submitted by the freelancer. Payment terms, including milestones and final payment, should be agreed upon before the commencement of work.

Dispute Resolution:
In the event of a dispute, Technet offers a mediation service to help resolve issues between freelancers and employers. Both parties are encouraged to communicate directly to resolve issues before seeking mediation.


4. Intellectual Property


Ownership:

Upon full payment, the intellectual property rights of the work produced by a freelancer for a project transfer from the freelancer to the employer, unless otherwise agreed upon.


Licensing:

Freelancers may retain ownership of their work but grant employers a license to use that work, as detailed in the project agreement. Specific terms regarding intellectual property rights should be clearly outlined in the project agreement.


Protection of Intellectual Property:


Both freelancers and clients are expected to respect each other's intellectual property rights. Any unauthorized use of another's intellectual property is strictly prohibited and may result in account suspension or termination.

5. Confidentiality 


Confidential Information:
Both parties agree to keep all sensitive and confidential information disclosed during the project confidential. This includes project details, proprietary methods, business strategies, and any other information that is not publicly available.

Definition of Confidential Information: Confidential information includes, but is not limited to, any information that is marked as confidential, or that a reasonable person would understand to be confidential given the nature of the information or the circumstances of disclosure.

Obligations of Confidentiality:

  • Non-Disclosure: Both parties agree not to disclose any confidential information to third parties without the prior written consent of the disclosing party.
  • Use of Information: Confidential information shall only be used for the purposes of performing the project and not for any other purpose without the disclosing party's prior written consent.
  • Protection Measures: Both parties agree to take all reasonable measures to protect the confidentiality of the information, including implementing appropriate physical, technical, and administrative safeguards.


Exceptions to Confidentiality:
Confidentiality obligations do not apply to information that:

  • Was known to the receiving party before disclosure without an obligation of confidentiality.
  • Becomes publicly available through no fault of the receiving party.
  • Is independently developed by the receiving party without the use of or reference to the disclosing party's confidential information.
  • Is disclosed to comply with a legal obligation or court order, provided that the receiving party gives the disclosing party prompt notice of such requirement and cooperates with any attempts to limit the scope of the required disclosure.

6. Limitations of Liability


Disclaimer of Warranties:

Technet is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of our Service or the information, content, materials, or products included on the platform.

Limitation of Liability:
Technet is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, but is not limited to, any disputes between freelancers and employers regarding the quality, safety, or legality of the services provided.

Indemnification:
You agree to indemnify and hold harmless Technet, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.

Periodic Review and Modifications:

We may modify these Terms & Conditions periodically to reflect changes in our practices or service offerings. Updates will be communicated through our platform, with the revised date indicating the latest version. Your continued use of the Service following any changes signifies your acceptance of those changes.
